Nuova Webs Hub: Terms of Service

Welcome to Nuova Webs Hub! These Terms of Service ("Terms") govern your access to and use of our services, including our websites, APIs, applications, and any other services provided by Nuova Webs (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Nuova Webs. You acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

2. Eligibility and Accounts

  • Age Requirement: You must be at least 18 years old to use the Services. By accessing or using the Services, you represent and warrant that you are 18 years of age or older.
  • Account Creation: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. Nuova Webs cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account and password. You agree to notify Nuova Webs immediately of any unauthorized use of your account.

3. Content on Nuova Webs Hub

  • Your Content: You are solely responsible for any content, including text, images, videos, audio, or other materials, that you submit, post, display, or otherwise make available on or through the Services ("Your Content"). You retain ownership of Your Content.
  • No Endorsement; Your Responsibility: You acknowledge and agree that Nuova Webs does not own, endorse, or assume any responsibility for Your Content. You are solely responsible for the consequences of posting or publishing Your Content on the Services, including any legal or other repercussions that may arise from such content.
  • License to Nuova Webs: By submitting, posting, or displaying Your Content on or through the Services, you grant Nuova Webs a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute Your Content in any and all media or distribution methods (now known or later developed). This license is for the limited purpose of operating, developing, providing, and improving the Services and researching and developing new ones. This license extends to allow Nuova Webs to display Your Content in connection with advertisements.
  • Content Moderation: Nuova Webs reserves the right, but is not obligated, to remove or refuse to distribute any Content on the Services, such as Content that violates these Terms. Nuova Webs also reserves the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of Nuova Webs, its users and the public.
  • Feedback: Any feedback, comments, or suggestions you may provide regarding Nuova Webs Hub or the Services is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to, and not to allow any third party to:

  • Prohibited Content: Upload, post, transmit, store, or otherwise make available any content that:
    • Is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, hateful, or otherwise objectionable.
    • Contains or promotes illegal activities, including but not limited to, child pornography, illegal gambling, drug sales, illegal arms trafficking, "warez" (pirated software), or any content depicting violence, self-harm, or animal cruelty.
    • Would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national, or international law.
    • May infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party.
    • Contains private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers, and credit card numbers.
    • Contains viruses, corrupted data, or other harmful, disruptive, or destructive files.
  • Unlawful or Unauthorized Use:
    • Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
    • Use the Services for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
    • Transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation (except as specifically permitted under Section 5 below).
    • Impersonate or attempt to impersonate Nuova Webs, a Nuova Webs employee, another user, or any other person or entity.
  • Interference and Misuse:
    • Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Nuova Webs or users of the Services or expose them to liability.
    • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
    • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
    • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
    • Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
    • Otherwise attempt to interfere with the proper working of the Services.

5. Marketing and Hosting Policy

  • Marketing Web Services: Nuova Webs Hub encourages its users to leverage the platform to market and offer their web-related services, including but not limited to web design, web development, digital marketing, social media management, and advertising services, to other users and businesses on the site. This is a primary benefit of being a member of the Nuova Webs Hub community.
  • Mandatory Hosting: For any web-based projects (e.g., websites, web applications, landing pages) designed, developed, or otherwise created by a user of Nuova Webs Hub for another user or client sourced through the Nuova Webs Hub platform, the final project, upon completion, must be hosted exclusively on Nuova Webs infrastructure. This requirement applies to all projects where Nuova Webs Hub was instrumental in connecting the service provider and the client. Failure to adhere to this mandatory hosting requirement may result in the suspension or termination of your account, as per Section 7.
  • Compliance: All marketing activities and the resulting projects must also comply with all other provisions of these Terms, including the Acceptable Use Policy (Section 4) and the DMCA Policy (Section 6).

6. Intellectual Property

  • Nuova Webs Property: All rights, title, and interest in and to the Services (excluding Content provided by users) are and will remain the exclusive property of Nuova Webs and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in the Terms gives you a right to use the Nuova Webs name or any of the Nuova Webs trademarks, logos, domain names, and other distinctive brand features.
  • Your Rights: Nuova Webs respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.

7. Digital Millennium Copyright Act (DMCA) Policy

Nuova Webs respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (DMCA), the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf, Nuova Webs will respond expeditiously to claims of copyright infringement committed using the Nuova Webs Hub Services that are reported to Nuova Webs's Designated Copyright Agent, identified below.

  • Reporting Infringement: If you are a copyright owner, or are authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the Services by completing the following DMCA Notice of Alleged Infringement and delivering it to Nuova Webs's Designated Copyright Agent. Upon receipt of the Notice as described below, Nuova Webs will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged content from the Services.

    DMCA Notice of Alleged Infringement ("Notice")

    1. Identify the copyrighted work that you claim has been infringed, or, if multiple copyrighted works are covered by this Notice, you may provide a representative list of the copyrighted works that you claim have been infringed.
    2. Identify the material that you claim is infringing (or to be the subject of infringing activity) and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material, including the specific URL(s) where the material can be found on Nuova Webs Hub.
    3. Provide your contact information, including your address, telephone number, and, if available, an email address.
    4. Include the following statement: "I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent, or the law."
    5. Include the following statement: "I hereby state that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed."
    6. Provide your full legal name and your electronic or physical signature.

    Deliver this Notice, with all items completed, to Nuova Webs's Designated Copyright Agent:

  • Counter-Notice: If you believe that your content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the content, you may send a Counter-Notice containing the following information to the Designated Copyright Agent:

    1. Your physical or electronic signature.
    2. Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled.
    3. A statement that you have a good faith belief that the content was removed or disabled as a result of a mistake or a misidentification of the content.
    4. Your name, address, telephone number, and e-mail address, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.

    If a counter-notice is received by the Designated Copyright Agent, Nuova Webs may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at Nuova Webs's sole discretion.

  • Repeat Infringers: In accordance with the DMCA and other applicable law, Nuova Webs has adopted a policy of terminating, in appropriate circumstances and at Nuova Webs's sole discretion, users who are deemed to be repeat infringers. Nuova Webs may also at its sole discretion limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

8. Termination

  • By You: You may terminate your agreement with Nuova Webs at any time by deactivating your account and discontinuing your use of the Services.
  • By Nuova Webs: We may suspend or terminate your account or cease providing you with all or part of the Services at any time for any or no reason, including, but not limited to, if we reasonably believe: (i) you have violated these Terms, (ii) you create risk or possible legal exposure for us; or (iii) our provision of the Services to you is no longer commercially viable. We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account.

9. Disclaimers and Limitations of Liability

  • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE": To the maximum extent permitted by applicable law, Nuova Webs DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Nuova Webs makes no warranty or representation that the Services will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or be accurate, reliable, complete, or free of harmful components.
  • LIMITATION OF LIABILITY: To the maximum extent permitted by applicable law, IN NO EVENT SHALL Nuova Webs, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES. In no event shall Nuova Webs's aggregate liability for all claims relating to the Services exceed the greater of ONE HUNDRED U.S. DOLLARS (U.S. $100.00) or the amount you paid Nuova Webs, if any, in the past twelve months for the Services giving rise to the claim.

10. Indemnification

You agree to defend, indemnify and hold harmless Nuova Webs and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use of and access to the Services, including any data or content transmitted or received by you; b) your violation of any term of these Terms; c) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; d) your violation of any applicable law, rule or regulation; e) any content that is submitted via your account; or f) any other party's access and use of the Services with your unique username, password or other appropriate security code.

11. Governing Law and Dispute Resolution

 

  • Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.
  • Arbitration: Any dispute, controversy or claim arising out of or relating to these Terms or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall take place in Las Vegas, Nevada.
  • Class Action Waiver: You agree that you may bring claims against Nuova Webs only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

 

12. General Terms

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Nuova Webs regarding the Services and supersede and replace any prior agreements, oral or otherwise, regarding the Services.
  • Waiver and Severability: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Nuova Webs's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
  • Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Nuova Webs without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
  • Changes to Terms: We may revise these Terms from time to time. The most current version will always be on this page. If the revisions are material, we will notify you through the Services or by sending an email to the email address associated with your account. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.

13. Privacy Policy

Your privacy is important to Nuova Webs. Our Privacy Policy explains how we collect, use, and share your personal information. By using the Services, you agree to the collection, use, and sharing of your information as set forth in the Privacy Policy. We do not share user data with third parties outside of Nuova Galactic Holdings.

14. Advertisements

You understand and agree that the Services may include advertisements, which may be targeted based on the content or information on the Services, queries made through the Services, or other information. The types and extent of advertising on the Services are subject to change.
